Terms of Service

These Terms of Service (“Terms”) govern your use of VerifyBooks at verifybooks.app (the “Service”), operated by California sole proprietorship doing business as VerifyBooks (“we,” “us,” “VerifyBooks”). By using the Service, you agree to these Terms.
1. What VerifyBooks is
VerifyBooks is an automated export file integrity checker for accounting report exports (for example Trial Balance, Balance Sheet, General Ledger, and optional Profit & Loss). The Service analyzes uploaded files and produces pass/fail findings, evidence, and an export integrity certificate.
VerifyBooks does not connect to QuickBooks or any accounting system, does not modify your books, and does not provide accounting, tax, audit, or bookkeeping advice. Findings are observations about export file integrity only. You must confirm all results with a qualified professional before taking action.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for ensuring you have the right to upload any files you submit (for example, you own the data or have client authorization).
3. Acceptable use
You agree not to:
- Upload malware, corrupted files intended to disrupt the Service, or content you do not have permission to process;
- Attempt to access other users’ runs, bypass rate limits, or probe the Service for vulnerabilities;
- Misrepresent VerifyBooks output as an accounting opinion, audit, or tax determination;
- Use the Service in violation of applicable law.
4. Uploads and your data
You upload files at your direction. Files are analyzed and then deleted according to our Trust & data handling page and Privacy Policy. We keep your run summary (verdict, check results, file fingerprints, timestamps) so you can view your report and download a certificate.
You are responsible for removing or redacting sensitive information from files before upload if your policies require it. Do not upload exports you are not authorized to share with a third-party processor.
5. Reports, certificates, and accuracy
Integrity scores, verdicts (CERTIFIED, CONDITIONAL, FAILED, INCOMPLETE), and certificates describe whether uploaded export files meet our automated integrity checks — not whether your underlying accounting records are correct.
Checks are defined by the published ruleset version in effect at the time of your run (shown on your report and certificate). We strive for reliable parsing and rules, but the Service is provided without guarantee that every export format variant or edge case will be detected. Export software changes; you should treat output as a structured verification aid, not a substitute for professional review.
5.1 Export Integrity Certificates
An Export Integrity Certificate records automated check results for the specific uploaded files identified by SHA-256 fingerprints at the time of analysis. A CERTIFIED verdict means all automated integrity checks passed for those files — it is not an accounting, tax, audit, or bookkeeping certification. Certificates do not certify that underlying records are accurate, complete, or suitable for filing, lending, M&A, or audit purposes.
If uploaded files are altered after analysis, the certificate no longer applies. You agree not to represent VerifyBooks output as an audit opinion, tax determination, or professional accounting certification.
5.2 No third-party reliance
Reports and certificates are issued to the person or entity that submitted the upload. They are not intended to confer rights on any third party (for example, a client, lender, or buyer). Any third party that chooses to rely on a certificate does so at its own risk and should obtain independent professional review.
6. Fees and payment
A free watermarked preview may be available. Unwatermarked certificates and full reports may require a one-time fee (currently $19 USD per pack unless otherwise shown on the site). Payments are processed by Stripe; their terms apply to payment transactions.
Except where required by law, fees are non-refundable once the unwatermarked report or certificate has been delivered for a completed run. If a technical failure prevents delivery, contact us at verifybooks@proton.me.
7. Intellectual property
We own the Service, software, rules, branding, and certificate templates. You retain ownership of your uploaded export content. You receive a limited license to use certificates and reports we generate for your internal or client handoff purposes, without removing VerifyBooks attribution on the certificate unless we agree otherwise in writing.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFYBOOKS AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC RUN GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) FIFTY US DOLLARS ($50).
10. Indemnity
You agree to indemnify and hold harmless VerifyBooks from claims arising out of your uploads, your misuse of the Service, or your violation of these Terms.
11. Changes
We may update these Terms. We will post the revised version on this page with an updated date. Continued use after changes constitutes acceptance.
12. Dispute resolution
Before filing a claim, you agree to contact us at verifybooks@proton.me and allow at least 30 days to try to resolve the dispute informally. If informal resolution fails, either party may pursue remedies in court as described below.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be brought in state or federal courts located in California, and you consent to that jurisdiction.
